1. Acceptance of Terms

Welcome to Remotorch. These Terms of Service ("Terms") govern your access to and use of the Remotorch platform, including our website, APIs, and remote GPU computing services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Remotorch provides a cloud-based platform that enables users to execute PyTorch and machine learning workloads on remote GPU infrastructure. The Service allows you to:

• Connect to remote GPU instances via our API
• Execute tensor operations and machine learning inference
• Upload and manage machine learning models
• Monitor usage and manage billing

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials and API keys
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service.

4. Billing and Payment

4.1 Prepaid Balance

Remotorch operates on a prepaid balance model. You must add funds to your account before using paid GPU resources. Your balance is deducted based on actual usage.

4.2 Pricing and Billing

GPU usage is billed in one-minute increments, with a minimum charge of one minute per session. Current pricing is displayed on our website and dashboard. We reserve the right to modify pricing with reasonable notice.

4.3 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for any fees incurred. You are responsible for any taxes applicable to your use of the Service.

4.4 Refunds

Account balances are generally non-refundable. Refunds may be considered on a case-by-case basis for service issues caused by Remotorch. Contact support for refund requests.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any part of the Service or its systems
• Use the Service to mine cryptocurrency or perform proof-of-work computations
• Upload or transmit malware, viruses, or other harmful code
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to infringe upon intellectual property rights of others
• Resell or redistribute access to the Service without authorization
• Use the Service to generate content that is illegal, harmful, or violates the rights of others
• Circumvent any access controls, rate limits, or usage restrictions

6. Your Content and Data

6.1 Ownership

You retain all ownership rights to your models, data, and other content that you upload or create using the Service ("Your Content"). Remotorch does not claim any ownership rights to Your Content.

6.2 License to Remotorch

By uploading Your Content, you grant Remotorch a limited, non-exclusive license to store, process, and transmit Your Content solely to provide the Service to you. This license terminates when you delete Your Content or close your account.

6.3 Your Responsibilities

You are solely responsible for Your Content and ensuring that it does not violate any laws or infringe on the rights of others. You represent that you have all necessary rights and permissions to use Your Content with the Service.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Remotorch and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

8. Service Availability and Modifications

8.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of significant changes.

9. Termination

You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users, us, or third parties.

Upon termination, your right to use the Service will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REMOTORCH, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Remotorch and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Remotorch regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.
